Terms & Conditions

The following sets forth the general terms and conditions (the “Terms and Conditions”) between AskVoila – a product of AiChat Pte Ltd (“AskVoila”) and users of its Website at www.askvoila.com of its services (collectively with the site, the “Service”). By using the AskVoila Website and/or the Services you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions of use, you shall not use the Service. AskVoila reserves the right, to change, modify, add, or remove portions of these Terms and Conditions of use at any time. Changes will be effective when posted on the website with no other notice provided. Please check these Terms and Conditions of use regularly for updates. Your continued use of the Service following the posting of changes to these Terms and Conditions of use constitutes your acceptance of those changes.

  1. Terms of payment

Payment must be paid prior to AskVoila rendering the Service. Cost of purchase and third party fees are included in the Service.

  1. Non-liability

2.1 By communicating with AskVoila, the Customer grant AskVoila permission to use any information (save for personal and credit card information), suggestions, ideas, drawings or concepts disclosed for any purpose AskVoila chooses, commercial, public or otherwise, without compensation whatsoever.

2.2 The Customer acknowledges and understands that AskVoila may contract with others as needed to provide the Service. AskVoila shall use its best efforts to obtain qualified providers of such services and/or items, but AskVoila does not guarantee the quality of service and/or items provided and/or sold by third parties and is not and cannot be liable or responsible in any manner for any loss, damages or claims arising by any unsatisfactory services and/or items provided and/or sold by any company, agency, business, services, individual or professional referred by AskVoila.

2.3 Warranty Disclaimer with respect to Products -The Products purchased by you through the Services are not our products, and we disclaim any and all warranties relating to such Products. Each merchant is fully responsible for the Products it provides to you. You waive and release us and our subsidiaries, affiliates, partners, officers, directors, employees and agents from any and all injuries, damages, claims, liabilities, and costs such Products may cause you to suffer arising from or related to any act or omission of any merchant in connection with the merchant’s Products. We’re not responsible for examining or evaluating, and we do not warrant the offerings of, any merchant or merchant Products or the content of any Merchant website to which you can link via the Services. We do not assume any responsibility or liability for the actions, Products, and content of merchants or any other third parties.

2.4 Damaged or Defective Product – AskVoila is not responsible for:
(i) any Product damage resulting from improper packing, storage or handling
(ii) Product delivered to you in a misrepresented/mislabeled or nonsaleable condition.
(iii) deteriorated or otherwise defective Product (collectively, “Damaged or Defective Product”). You may be entitled to a refund or credit of the purchase price you paid for any Damaged or Defective Product, provided that you return such Damaged or Defective Product to the applicable merchant in accordance with the “Returns and Refunds” procedures set forth herein.

2.5 Disputes and Release – In the event that you have a dispute with one or more service providers, you agree to address such dispute directly with the service providers in question and you release us (and our officers, directors, agents, investors, subsidiaries, and employees) from any and all claims, demands, or damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such dispute. If a dispute arises between you and a service provider in connection with a Task, we may, in our sole discretion, facilitate communication between you and the service provider in connection with such dispute. If such a dispute is unable to be resolved between you and a service provider, we may, in our sole discretion, intervene in such dispute and take any actions we deem appropriate.

2.6 AskVoila agrees to provide conscientious, competent and diligent services for it’s Customer and make reasonable effort to protect property entrusted to it. AskVoila does not assume responsibility for slow traffic, long lines or other circumstances out of it’s control which might make the errand longer than expected or the items purchased from third parties unsatisfactory hence the time of delivery is not of the essence and form no part of this Agreement. Notwithstanding anything to the contrary, AskVoila reserves the right to make recompense at it’s sole and absolute discretion provided that the error or omission was due to it’s own negligence.

2.7 AskVoila shall not be liable for any breach of the Terms and Conditions caused by an act of God, insurrection or civil disorder, war or military operations, national or local emergency, acts or omissions of Government or other local authorities, industrial disputes of any kind, fire, lightning, explosions, flood, landslides, subsidence, inclement weather, acts or omissions of persons or bodies for whom AskVoila is not responsible or any other cause whether similar or dissimilar outside of AskVoila’s control.

2.8 Upon the happening of any one of the events set out in Clause 2.7 AskVoila may at its option:-

a) Fully or partially suspend delivery/performance while such event or circumstances continues; or

b) Terminate any contract so affected with immediate effect by written notice to the Customer and AskVoila shall not be liable for any loss or damage suffered by the Customer as a result thereof.

  1. Delivery

3.1 AskVoila will not buy, transport or help facilitate illegal items or services.

3.2 AskVoila may, but are not obligated to, open and inspect any package, item or product at it’s sole discretion and without prior notice. AskVoila may refuse delivery of such item as AskVoila may deem as damaged or fragile unless previously declared in which the Customer agree that the original charges associated with the task will remain due and payable.

3.3 Merchants, and not AskVoila, are responsible for shipping Products ordered by us for you directly to the address you’ve designated in your Account. You may choose the method of shipment and timing of delivery for such Products through the Services, and you will be charged shipping and handling charges accordingly based on your choices.

3.4 Items such as alcohol, tobacco, prescriptions other legally/regulated products must be delivered to the person who contracted the Service. By contracting the Service, the Customer implies that they legally possess the product.

3.5 If the task requested by the Customer requires access to a business or residence, arrangements must be by the Customer to allow AskVoila access to the property at the scheduled time.

  1. Cancellation and re-delivery

4.1 Cancellations must be made at least 24 hours prior to your scheduled appointment provided AskVoila has not performed any part of the Service in which case the Customer will not be entitled to cancel and obtain a refund of the monies or any part thereof. AskVoila shall be entitled to impose a minimum of 50% of the total amount of the monies paid as administrative fees, in addition to the transaction fees charged by the charge and/or credit card company and/or financial institution (eg. Paypal). The balance after deduction of the administrative fees and the transaction fees will be refunded to the Customer.

  1. Undeliverable items

5.1 An “undeliverable” item is one that cannot be delivered for any of the following reasons:

  • The Customer cancels delivery after the driver has been dispatched to the origin address.
  • The item is not ready for pick up at the origin.
  • The item is not made available for the delivery driver upon pick up.
  • The Customer cancels delivery upon arrival by delivery driver.
  • The recipient’s address cannot be located.
  • The item’s content or packaging is damaged to the point where re-wrapping is not possible.
  • The item delivery or carriage is prohibited by law, statute or regulation.
    The recipient’s place of business is closed.
  • The recipient is not at a delivery location on the initial delivery attempt or reattempts.
  • The item was improperly packaged for blood or diagnostic specimen contents.

5.2 If an item is undeliverable for any reason, AskVoila will attempt to notify the Customer to arrange for its return and the charges associated with the original task shall remain due and payable within. For return or re-delivery, it will be considered a new service and a rate equal to the original charge will be imposed prior to re-delivery or return. If an item cannot be delivered or returned, the item may be transferred or disposed of by AskVoila in its sole discretion, with or without notice, and the Customer agrees to pay any costs incurred in the disposal.

5.3 Returns of, or refunds in connection with, Products or Tasks purchased or ordered through the Services may be handled directly between you and the applicable merchant or service provider, or AskVoila may, if it chooses, handle such returns or refunds for you or work with you in order to facilitate such returns or refunds. You understand and agree that it is in each merchant’s sole discretion as to which of its products (if any) will be eligible for return for a refund or credit, and that it is in each service provider’s sole discretion as to which of its services (if any) will be eligible for a refund, credit, or re-performance.

  1. Responsibility of Customer

6.1 Ensure that the mobile telephone and/or SIM Card and/or Facebook account is legally owned by the Customer at all times and not tampered with or modified or permit any person to tamper with or modify the mobile telephone, and/or the SIM Card as AskVoila is not liable for any loss or damage suffered by the Customer or any other person as a result of using the Mobile Telephone and/or SIM Card and/or Facebook account.

6.2 The Customer hereby agrees, allows, consents and has no objection to AskVoila extracting the Text Messaging Services (Whatsapp, Facebook Messenger & WeChat) details or personal information or any other data required to be used as evidence in court and/ or when necessary in the event of a suspected and/or proven misuse of the mobile telephone and/or SIM Card/ or Facebook account;

6.3 The Customer accepts full responsibility for all transactions arising from the use of their charge and/or credit card and/or online bank transfer in payment of the Service.

6.4 AskVoila shall not be held responsible or liable for any claims, loss, damage, costs and expenses arising from the successful or unsuccessful processing of the debit due, the exceeding of credit limit, malfunction of the system, electricity failure and/or any other factor beyond the control of AskVoila.

6.5 Therefore for any problems or disputes arising from the processing or debiting it shall be the Customer’s own responsibility to resolve it with their charge and/or credit card companies and/or financial institution (including but not limited to any problem due to breakdown/malfunction/mechanical defect of the computer system or equipment of the charge and/or credit card company and/or financial institution).

  1. Limitation of Liability

The liability of AskVoila, if any, as a result of the Service whether in contract, tort or otherwise, shall not exceed the total charges paid by the Customer during the period of (1) year from the date of this contract. AskVoila will not be liable for damages which are incidental or consequential even if AskVoila has been advised as to the possibility of such damages. Such damages include, but may not be limited to, such items as loss of profits. All claims of any type by the Customer against AskVoila must be brought within one (1) year of occurrence or be forever barred. The remedies expressed in this Agreement are the sole and exclusive remedies available.

  1. Personal Data Protection Policy

This Personal Data Protection Policy is issued to all our valued customers pursuant to the requirements of the Singapore Personal Data Protection Act (PDPA) 2012.

We treat and view our Customer’s personal data seriously.

Personal Information

8.1 Personal Information is any information that concerns the Customer individually and would permit AskVoila to contact the Customer, for example, Customer’s name, address, telephone/fax number, email address, bank or any information submitted to AskVoila that identifies the Customer individually.

8.2 The Website cannot collect any personal information about the Customer unless the Customer provide it.

8.3 The Customer can visit and browse the Website without revealing personal information about themselves, but not all functions will be available. The Customer may also choose to disclose personal information. AskVoila may collect personal information from the Customer when the Customer:

  1. Communicate with AskVoila through the different platforms
    • Through website
    • Through a Mobile Telephone
    • Through call center
  2. Register or subscribe to any products/services eg: newsletter
  3. Participate in any of AskVoila surveys done internally or via an appointed 3rd party
  4. Enter into /participate/win in any contest/competition/loyalty programs run by AskVoila
  5. Register interest and /or request for information or orders
  6. Respond to any marketing materials AskVoila sends out
  7. Commence a business relationship with AskVoila
  8. Visit or browse AskVoila Website
  9. Lodges a complaint with AskVoila
  10. Provide feedback to AskVoila

Information Use

8.4 AskVoila may use the personal information collected through its Website primarily for such purposes as:

  1. To verify Customer’s identity
  2. To assess and process Customer’s request for Service
  3. To provide Customer with the Service requested
  4. To administer and manage the Service provided by AskVoila (including ordering, delivery, complaints, follow up, feedbacks)
  5. To investigate and resolve any ordering, delivery, quality, complaints or other inquiries that the Customer submits to AskVoila regarding it’s Service
  6. To detect and prevent fraudulent activities
  7. To keep in contact with the Customer and provide the Customer with any information requested
  8. To manage staff training and quality assurance
  9. To produce data, reports and statistics which shall be anonymized or aggregated in a manner that does not identify you as an individual
  10. To investigate, respond to, or defend claims against AskVoila
  11. To maintain records required for internal investigations, audit or security purposes.

Disclosure of Information

8.5 Notwithstanding anything to the contrary, AskVoila may disclose the Customer’s personal information to the following third parties as may be required for any of the following purposes:-

  • law enforcement agencies and such bodies in compliance with the law and Order of a Court
  • companies and/or organisations that act as our agents, contractors, service providers and/or professional advisers
  • companies and/or organisations that assist us in processing the personal information including charge and/or credit card company and/or financial institution
  • our business associates and other parties for purposes that are related to the purpose of collecting your personal information
  • other parties in respect of whom you have given your consent.

8.6 The Website may contain links to other web sites not maintained or related to AskVoila. These links are provided as a service to users and are not sponsored by or affiliated with the Service or AskVoila. These websites may have their own privacy statement in place and it is recommend that the Customer review those statements. AskVoila is not responsible for the contents on the linked sites or any use of the sites.

Security

8.7 AskVoila shall take practical steps to safeguard your personal information against any loss, misuse, modification, unauthorized or accidental access or disclosure, alteration or destruction by having regard:

to the nature of the personal data and the harm that would arise;
to the place or location where the personal data is stored;
to any security measures incorporated into any equipment in which the personal data is stored;
to the measures taken for ensuring the reliability, integrity and competence of personnel having access to the personal data; and
to the measures taken for ensuring the secure transfer of the personal data.

8.8 AskVoila shall ensure that any security policy developed or implemented by AskVoila complies with the security standard required under the Act and any applicable law that may from time to time be in force.

8.9 AskVoila places great importance on the security of the Customer’s personal information and ensures organizational security measures when processing the Customer’s personal information.

Retention

8.10 Any personal information supplied by the Customer will be retained by AskVoila for such period as is necessary for the purposes set out in the Terms and Conditions or as may be deemed necessary by AskVoila or where otherwise required by law.

Right of Access And Correction

8.11 The Customer has the right to access and correct the personal information supplied to AskVoila Service.

  1. Trademarks and copyrights

All intellectual property rights, whether registered or unregistered, in the Website, information content on the Website and all the website design, including, but not limited to, text, graphics, software, photos, video, music, sound, and their selection and arrangement, and all software compilations, underlying source code and software shall remain the property of AskVoila. The entire contents of the Website also are protected by copyright as a collective work under Singapore copyright laws and international conventions. All rights are reserved.

  1. Applicable law and jurisdiction

The Terms and Conditions shall be interpreted and governed by the laws in force in Singapore. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts of Singapore and to waive any objections based upon venue.

  1. Arbitration

Any controversy, claim or dispute arising out of or relating to this Agreement will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator held in Singapore in English and governed by Singapore law. The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Singapore and is independent of either party. Notwithstanding the foregoing, AskVoila reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.
